Re: Application No. 2001-1250-9- Approved
Transfer of shares and control, estate planning purposes - Thunder Bay Electronics Limited ("Thunder Bay"), licensee of television programming undertakings CHFD-TV and CKPR-TV, serving Thunder Bay, requests authority to transfer all the issued and outstanding shares from H. F. Dougall Company Limited to Thunder Bay Television Inc.

The Commission approves the above-noted application for authority to effect a change in the effective control of Thunder Bay Electronics Limited ("Thunder Bay Electronics"), through the transfer of all the issued and outstanding shares from H. F. Dougall Company, Limited to Thunder Bay Television Inc. Thunder Bay Electronics will continue to be ultimately controlled by Hector Fraser Dougall a Canadian citizen and resident.

The Commission notes that the share transfer occurred without its prior approval. Consequently, the Commission reminds the licensee that compliance with subsection 14 (4) of the Television Broadcasting Regulations 1987 is required at all times, which states that a licensee must obtain prior approval of the Commission in respect of any transaction that directly or indirectly would result in a change in the effective control of its undertaking or a person owning more than 30 or 50 per cent of the voting interests of a licensee.

The Commission will modify its ownership records to reflect the authorized ownership of Thunder Bay Electronics as shown in the attached appendix.

All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licences.
