Intra-corporate reorganization changing effective control of Groupe TVA inc., following the wind up of certain Groupe Vidéotron ltée subsidiaries, without changing ultimate control of Groupe TVA inc.

Dear Sir:

This letter is to inform you that the Commission approves your application for reorganization filed on behalf of Groupe TVA inc. to carry out an intra-corporate reorganization to transfer the effective control of the licensee company Groupe TVA inc. to Groupe Vidéotron ltée. The Commission understands that the reorganization will be effected through the following transactions:

the winding up of 9076-1859 Québec inc. (the parent corporation of 9076-1883 Québec inc.), into Groupe Vidéotron ltée; and the winding up of 9076-1883 Québec inc., the principal shareholder of Groupe TVA inc., into Groupe Vidéotron ltée.

Groupe TVA inc. is the licensee of CFCM-TV Québec, CHEM-TV Trois-Rivières, CFER-TV Rimouski, CFTM-TV Montréal, CHLT-TV Sherbrooke, CJPM-TV Chicoutimi, as well as of the TVA television network and Le Canal Nouvelles.

The goal of the reorganization is to simplify the ownership structure of Groupe TVA inc. broadcasting undertakings without changing its ultimate control or level of participation in the affected undertakings. The Commission notes that, following the reorganization, Quebecor Média inc. will continue to have the ultimate control of Groupe TVA inc.

The Commission will modify its records to reflect the changes as shown in the attached appendix.

All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission asks that you append this letter to your licences.
