Re: Application No. 2001-0889-6 - Approved
Corporate reorganization - Transfer of 351,669 common shares in Amtelecom Group Inc. from 2847906 Canada Inc. to Chele-Mark Enterprises Inc.

The Commission approves the above noted application for authority to effect a corporate reorganization of Amtelecom Group Inc. of which AGI Cablevision Inc. (AGI) is a wholly owned subsidiary. The corporate change will be effected through the transfer of 351,669 common shares in Amtelecom Group Inc. from 2847906 Canada Inc. to Chele-Mark Enterprises Inc. Following this transaction Chele-Mark Enterprises Inc. and its wholly-owned subsidiary 1482462 Ontario Inc. will hold approximately 32.95% of the common shares of Amtelecom Group Inc..

The Commission notes that the transfer does not involve any change in ultimate control of AGl. The Commission will modify its ownership records to reflect the authorized ownership of AGl as shown in the attached appendix.

All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licence.
