Transfer of control and shares |

The Commission announces that it has approved, by Letter of Authority A01-0018 dated 26 January 2001, the applications for a change to the effective control of Les Placements Belcand Mont-Royal inc. The change of control will be effected through the transfer of all of the issued and outstanding shares of 3776271 Canada inc. to 605838 B.C. Ltd., a subsidiary of Corus Entertainment Inc. Belcand is the owner of Metromedia CMR Broadcasting Inc. which owns directly or indirectly six radio stations, five in Montréal, CKOO-FM (formerly CIEL-FM), CKOI-FM, CINF, CFQR-FM and CINW, and one in St-Jérôme, CIME-FM, as well as the French-language Category 2 (digital) specialty television service "Canal Habitat". |

As required by the Commercial radio policy 1998 (PN 1998-41), an amount of $9.9 million, which represents 6% of the transaction's value, evaluated at $165 million, should be affected to tangible benefits. The applicant has committed to allocate this amount to the Fonds Radiostar ($3.3 million), the Radio Starmaker Fund ($1.65 million), MusicAction ($2.2 million), FACTOR ($1.1 million), l'École nationale de l'humour ($150,000), Canadian Music Week ($500,000), Le Festival Juste Pour Rire/Just for Laughs Comedy Festival ($400,000), La Faculté de Journalisme de l'Université Concordia ($300,000) and Le Département de journalisme de l'Université du Québec à Montréal ($300,000). |
