ACROSS CANADA

 

Application (2000-2309-4) by QUEBECOR MÉDIA INC. (QMI) on behalf of Groupe TVA inc. (TVA) for authority to acquire all shares of TVA's parent company 9076-1883 Québec inc., and consequently to gain control of TVA and its regulated subsidiaries.

 

Application (2000-2310-2) by QMI on behalf of Vidéotron ltée (Vidéotron) for authority to acquire all shares of Vidéotron, and consequently to gain control of Vidéotron and its regulated subsidiaries.

 

Application (2000-2337-3) for authority to transfer the interests in Cable Public Affairs Channel Inc. currently held by Vidéotron directly and indirectly.

 

On 27 September 2000, Quebecor inc. (Quebecor), acting through QMI, launched a takeover bid for all outstanding shares of Le Groupe Vidéotron ltée (GVL). QMI completed its bid on 19 October 2000 by acquiring almost all shares of GVL.

 

On 11 October 2000, the Commission approved two voting trust agreements and the appointment of their trustee to allow the ongoing broadcasting undertakings to operate independently of Quebecor pending examination of the application by the Commission. Richard Drouin is the trustee of the TVA trust (Approval letter A00-0100), and Serge Gouin is the trustee of the Vidéotron trust (Approval letter A00-0099).

 

The proposed change of ownership of TVA and Vidéotron, if approved, will result in a change to the effective control of broadcasting undertakings licensed for cable distribution, television broadcasting (TVA, the French-language national generalist network), and specialty television services.

 

Through its many subsidiaries, Quebecor is involved in several sectors, primarily including printing, new media (Internet), newspaper publishing, book and magazine publishing and retail sales, record distributing and retail sales, and television broadcasting. As regards television broadcasting, Quebecor holds a controlling 85.99 % interest in TQS inc. (TQS). TQS holds the licences for three television stations and one French-language generalist television network, the third-largest in Quebec in terms of Francophone viewership. The Commission notes that Quebecor committed to dispose of TQS on condition that the Commission approve the acquisition of TVA.

Services operated by GVL include television distribution (Vidéotron), accessible to 80% of Quebec households, telecommunications, Internet access, e-commerce, security systems, television production, and television broadcasting (TVA), including categories 1 and 2 digital specialty services and analogue specialty television services like LCN and Canal Évasion. It is also involved in the sale and rental of videos and DVDs and publishing books and magazines. TVA is a limited partner of the English-language station CKMI-TV, which broadcasts from Quebec City and is retransmitted in Montréal and Sherbrooke. TVA's programming is accessible across Canada, since it is included in the basic cable service pursuant to Distribution Order 1999-1 of 12 February 1999. TVA also operates a French-language generalist television network and its programming is accessible across Canada, since it is included in the basic cable service. This television has the highest French-language audience share in Quebec.

 

The above applications therefore affect several components of the broadcasting industry because of the cross-ownership they would entail. They give rise to a number of issues that the Commission may wish to consider, among others:

 

a) Diversity of voices in Quebec

 

Ownership of the largest French-language generalist television network, of newspapers, analogue and digital specialty television services, and Internet portals could reduce the number of editorial voices available in Quebec. The Commission intends to consider whether safeguards are required (in the form of conditions of licence or other means) to ensure adequate diversity of editorial voices in the market. Without limiting the generality of the foregoing, the Commission specifically mentions the possibility of suspensive conditions, notably with respect to TQS, LCN and LCN Affaires.

 

b) Community television

 

Quebecor committed to continue Vidéotron's work to revive community television. The Commission intends to examine how those revival (revitalisation in the French language) efforts comply with the spirit of the current policy for community television.

 

c) Market domination resulting from the transaction

 

Through its involvement in television, newspapers and the Internet (through each of its portals), Quebecor could be in a dominant position in the Quebec market with respect to advertising. The Commission will examine whether approval of the transaction could adversely affect other broadcasters in Quebec and hinder their ability to meet their regulatory obligations.

 

d) Proposed benefits

 

Quebecor proposes a benefit package of $30-million based on a value of $230-million for TVA's regulated activities acquired by QMI. When considering transfers of control, the Commission requires the applicant to demonstrate that the transaction is the best available under the circumstances for both the public and the Canadian broadcasting system. The Commission intends to examine the issue of whether Quebecor's approach in proposing its package will benefit the broadcasting system more than if it were to include instead significant investments in capital and loan funds to provide permanent financing for the production of Canadian programming. It intends to examine whether the benefits represent contribution to the broadcasting system.

 

The Commission intends to also examine how Quebecor determined the total value of the benefit package proposed. The Commission has requested clarifications in this respect which the applicant will provide after the release of this Notice of public hearing. The information will be placed on the public examination file. The Commission therefore invites the public to consult the public examination file for responses from the applicant.

Applications (2000-2307-8, 2000-2308-6) by GROUPE TVA INC. to renew the licences of the French-language national television network TVA and of the French-language television programming undertaking CFTM-TV Montréal, expiring 31 August 2001.

 

At the hearing, the Commission intends to discuss the licensee's proposals in order to implement the TV Policy (Public Notice CRTC 1999-97), particularly with respect to the following aspects:

 

Priority Program Categories during peak viewing period

 

Are the licensee's proposed commitments comparable, at a minimum, to the levels offered to date?

 

Contributions to independent production

 

In light of TVA's importance in the French-language market and considering the conditions imposed on another private television broadcaster operating in the same market, should the Commission consider a firm commitment from TVA to the independent production? If so, should a number of the programs commissioned from the independent production sector come from different regions of Canada?

 

Licensee's commitments to local and regional programming

 

Even though TVA's regional stations are not being renewed at the same time as that of CFTM-TV and the TVA network, the Commission intends to discuss the licensee's global strategy on local programming. What strategy and what flexibility does TVA intend to adopt to ensure that its regional stations adequately respond to the expectations of the communities they serve?

 

Closed-captioning

 

How does TVA intend to increase the levels of closed-captioned programs in order to reach the levels achieved by the English-language television stations, for both real time and off-line captioning?

 

Descriptive Video

 

Should it be appropriate for the Commission to consider at this time imposing minimum levels of descriptive video over the licensee's overall programming?

 

Ethnic and cultural diversity

 

Do the measures proposed allow the licensee to adequately reflect, in its programming, the ethnic and cultural diversity of the communities it serves?

 

Advertising

 

TVA has proposed that, for each of its stations as well as for its network, it be relieved of the obligation to adhere to section 11(1) of the Television Broadcasting Regulations, 1987, which limits advertising to 12 minutes in any clock hour in a broadcast day. Alternatively, it proposes that they be governed by a condition of licence that would average the calculation of advertising limits of 12 minutes per hour on a weekly basis.

 

In light of the Commission's position in its TV Policy, should it consider the licensee's flexibility request to insert advertising in its programming? In light of the model used by the licensee for the production and broadcast of infomercials, would it be necessary for the Commission to take measures to ensure a fair balance, for the viewer, between the programming and the amount of time allocated to infomercials?

 

Other questions

 

The Commission also intends to discuss other topics with the licensee, among other things:

 

- Canadian theatrical feature films aired on television; and

 

- Commitments to reflect the realities of Francophones outside of Quebec.
