Applications by CRAIG MUSIC & ENTERTAINMENT INC. (CMEI), on behalf of Craig Wireless International Inc. (CWII), to undertake a corporate reorganisation whereby CWII will acquire 4 radio stations from CMEI. The radio assets are located in Manitoba and include CKMM-FM in Winnipeg, CFQX-FM in Selkirk, CKXA-FM and CKX-FM in Brandon.

 

CMEI is requesting that licences be issued to CWII under the same current terms and conditions, for the above noted broadcasting undertakings.

 

The proposed corporate reorganisation will not result in any change of control of the above noted stations as the succession of Stuart A. Craig will continue to control the undertakings.

 

The Commission notes that the corporate reorganisation constitutes a preliminary step to the proposed transactions between CMEI and Standard Radio Inc. as described below.

Applications by STANDARD RADIO INC. to acquire the assets of radio stations CKMM-FM Winnipeg, CFQX-FM Selkirk, CKXA-FM and CKX-FM Brandon from Craig Music & Entertainment Inc. and Craig Wireless International Inc. (subject to the corporate reorganisation relating to the the transfer of the above noted radio stations from Craig Music & Entertainment Inc. to Craig Wireless International Inc.).

 

The Commission notes that the value of the transaction is estimated at $20,000,000. The applicant proposes $1,200,000 (or 6% of the value of the transaction) in tangible benefits to be distributed between Radio Starmaker Fund (English) ($600,000), FACTOR ($400,000) and VoicePrint ($200,000).

 

The applicant is also requesting licences to continue the operation of these undertakings, under the same current terms and conditions, upon surrender of the current licences issued to Craig Music & Entertainment Inc.

Applications by COGECO RADIO-TÉLÉVISION INC. (CRTI), on behalf of NEWCO (a wholly owned subsidiary of CRTI to be incorporated), to undertake a corporate reorganisation whereby CRTI will transfer to NEWCO the assets of 2 radio stations CFGL-FM Laval and CJMF-FM Québec and related transitional digital radio undertakings, a 49.99% interest in Stornoway Communications Limited Partnership and a 20% interest in Canal Indigo (general partnership). The above noted radio assets and the interest in Stornoway Communications Limited Parnership and in Canal Indigo are currently held by CRTI.

 

The applicant is also requesting that licences be issued to NEWCO under the same current terms and conditions for the above-noted radio undertakings.

 

The purpose of the proposed corporate reorganisation is to separate the above-noted assets from the assets of the television stations owned by CRTI in order to determine the fiscal value of these assets before the realisation of the transaction related to TQS Inc. described in Notice of Public Hearing CRTC 2001-10-4.

 

The Commission notes that the proposed transfer of assets is subject to the approval of the applications by Cogeco Inc. and Bell Globemedia Inc. with regard to the acquisition of the assets of TQS Inc.

 

The reorganisation will not result in a change of control or ownership of the above noted assets.
