The Commission will hold a public hearing commencing on 26 February 2001, at the Commission Headquarters, 1 Promenade du Portage, Hull, Quebec, to consider the following:

CTV Inc. - Various locations across Canada

CTV Inc. filed applications on behalf of subsidiary licensees for authority to effectuate a multi-step corporate reorganization, which can be summarized in the following four steps.

1) Application (2000-2366-4) by 1406236 ONTARIO INC. to transfer the control of CTV Inc. to 2000670 Ontario Limited (Holdco), a newly incorporated subsidiary company, by transferring all of the issued and outstanding shares of CTV Inc. to Holdco.

2) Applications (see table below for Step 2) by 3844609 CANADA INC. (Newco) for authority to acquire all of the assets of CTV Television Inc. and to obtain television broadcasting licences on the same terms and conditions upon surrender of the current licences. The acquisition of assets would exclude CTV Television Inc.'s existing interests in CTV Sports Net Inc. (licensee of Sportsnet), 3216195 Canada Inc. (licensee of Sports/Specials DTH-PPV), and History Television Inc. (licensee of History Television).

3) Applications (see table below for Step 3) by HOLDCO for authority to transfer direct and indirect ownership interests that CTV Inc. currently owns by way of a wind up of CTV Inc. into Holdco. These acquisitions affect the ownership of certain licensees and change the control of certain subsidiary licensees.

4) Applications (see table below for Step 4) by HOLDCO for authority to transfer direct and indirect ownership interests that CTV Television Inc. and 1155638 Ontario Inc. currently own by way of a wind up of these two companies into Holdco.

The Commission notes that the corporate reorganization also affects the ownership of certain category 2 digital specialty services authorized to the CTV Family Group. It is also noted that the category 2 authorizations are valid and that a licence will only be issued once each licensee has filed all of the incorporating and other related documents clearly demonstrating that it is a qualified corporation as defined in the Direction to the CRTC (Ineligibility of non Canadians). The Commission notes that the proposed corporate reorganization does not significantly affect the ownership of these category 2 digital specialty services and that the licensee of the category 2 digital undertaking will confirm its ownership when it asks for the issuance of its category 2 digital licence.
