Dear Mr. Duval,

Trust arrangement: Authority for the implementation of a trust arrangement for TQS inc.'s shares held by Quebecor inc. and the appointment of Mr. Pierre Hébert as Trustee.                                                                                   

The Commission approves the implementation of a trust arrangement for TQS inc.'s (TQS) shares held by Quebecor inc. and the appointment of Mr. Pierre Hébert as trustee. Authority for the trust arrangement will expire on March 31, 2002.

The Commission notes that this authority is granted within the scope of its Decision, CRTC 2001-384, authorizing the transfer of effective control of Groupe TVA inc. subject to suspensive conditions. One of the suspensive conditions requires the filing, by September 7, 2001, of a trust arrangement proposal for approval by the Commission.

To respect this suspensive condition, , Quebecor inc. filed, on September 7 of this year, an application for authority to implement a trust arrangement. The Commission has examined the proposed trust arrangement and is satisfied with the terms set out in the proposal. It is also satisfied with Mr. Hébert's nomination as trustee. The Commission is satisfied that Quebecor has respected the suspensive condition regarding filing a trust arrangement proposal.

The Commission expects that a duly signed copy will be filed within 5 days following this letter. In addition, the Commission points out that this approval shall not be interpreted in any way as an indication that the Commission is predisposed to authorize subsequent applications for change of ownership or control.

A copy of this letter shall be attached to licenses currently in force issued to TQS and its subsidiaries.
