Change of ownership -
A change modifying the proposed structure of "Men TV" a new category 1 specialty television service from a corporation to be incorporated to Men TV s.e.n.c. / Men TV General Partnership involving the partners Groupe TVA Inc. and Global Communications Inc. at the same level of participation

The Commission approves the above-noted application for authority to effect a modification from a corporation to be incorporated to Men TV s.e.n.c. / Men TV General Partnership, whereby Groupe TVA Inc. and Global Communications Inc. will become the partners and the licensees of the new category 1 specialty television service to be known as "Men TV".

The Commission notes that in its Decision 2000-464 (dated November 24, 2000), it awarded a category 1 digital specialty service to TVA Groupe Inc., on behalf of a corporation to be incorporated to be known as "Men TV Inc.". The ownership structure of the corporation was to be Groupe TVA Inc. with a 51% voting interest and Global Television Network Inc. with a 49% voting interest. The ownership structure was subsequently modified to the partners of a general partnership consisting of Groupe TVA Inc. with a 51% participation level and Global Communications Inc. with a 49% participation level.

The Commission will modify its ownership records to reflect the partnership interests held by Groupe TVA Inc. and Global Communications Inc. in Men TV s.e.n.c. / Men TV General Partnership as shown in the attached appendix.

All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licence.
