Dear Sir:

Re: Application No. 2001-0229-4 - Approved
Corporate reorganization - PrideVision Inc., a national digital specialty service will become a wholly owned subsidiary of Headline Media Group Inc.

The Commission approves the above noted application for authority to effect a corporate reorganization of PrideVision Inc. (PrideVision). PrideVision is to become the licensee of the national digital specialty service, which will provide national news and information, current affairs, lifestyle and entertainment programming designed to meet the needs of the gay and lesbian community. The voting shareholders of PrideVision were to be Levfam Holdings Inc. at 70.1% and Alliance Atlantis Communications Inc. at 29.9%. The proposed change will have PrideVision become a wholly owned subsidiary of Headline Media Group Inc. (Headline Media), formerly known as Old Canada Investment Corporation Limited. Headline Media also holds all the issued and outstanding shares of The Score Television Network Ltd., formerly known as Sportscope Television Network Ltd.

The Commission notes that Levfam Holdings Inc., will continue to exercise effective control of PrideVision. Levfam Holdings Inc. has the right to vote the Alliance Atlantis Communications Inc. Special Voting shares and the Class A Subordinate Voting shares for the election of the directors of Headline Media.

The Commission will modify its ownership records to reflect the authorized ownership of PrideVision as shown in the attached appendix.

All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licence.
