Corporate reorganization - A corporate change whereby Persona Inc. will hold all the issued and outstanding shares of Regional Cablesystems Inc.
The Commission approves the above noted application for authority to effect a corporate reorganization of Regional Cablesystems Inc. (Regional) The corporate change will be effected through the transfer of all the issued and outstanding shares of Regional from existing shareholders to Persona Inc. (Persona).
The Commission notes that the transfer does not involve any change in ultimate control of Regional. As a result of this transaction Regional will become a wholly owned subsidiary of Persona. Furthermore, the Commission understands, that following the transaction, Regional will be amalgamated with its wholly owned subsidiaries and the Commission expects the amalgamation documents for Regional to be forwarded once they become available.
The Commission will modify its ownership records to reflect the authorized ownership of Regional as shown in the attached appendix.
All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licence.
