Corporate Reorganization

The Commission approves the application for authority to acquire the assets of radio programming undertaking CKLM-FM from Peace River Broadcasting Corporation Ltd., and for a broadcasting licence to continue the operation of this undertaking.

In Decision CRTC 2001-367 dated 20 June 2001, the Commission approved an application by Peace River Broadcasting Corporation Ltd., licensee of CKHL-FM High Level, CKKX-FM and CKYL Peace River, and CKLM-FM Lloydminister, Alberta to transfer the voting shares held by J. Stewart Dent and Anita Dent in Peace Radio Network Ltd., a company holding all the issued and outstanding shares of Peace River Broadcasting Corporation Ltd., to 937593 Alberta Ltd., a company jointly owned by Terrence Babiy and Cynthia Babiy.

The transaction addressed in the current decision is a subsequent step in the above-mentioned transaction whereby Mr. and Mrs. Dent are requesting authority to acquire the assets of CKLM-FM Lloydminster through 912038 Alberta Ltd., their personal holding company.

Upon surrender of the current licence, the Commission will issue a licence to 912038 Alberta Ltd. expiring 31 August 2006, the current expiry date. The licence will be subject to the conditions set out in the licence to be issued, as also set out in Public Notice CRTC 1999-137. The licence will also be subject to the conditions of licence set out in Decision CRTC 2000-93, the original licensing decision for CKLM-FM. These conditions of licence state that the licensee of CKLM-FM must:

· as an exception to the percentage of Canadian musical selections required under section 2.2(8) of the Radio Regulations, 1986, in a broadcast week, devote 40% or more of its musical selections from content category 2 to Canadian selections broadcast in their entirety.
· in addition to the requirements for Canadian talent development set out in the licence to be issued, make annual direct contributions of $29,200. All funds expended must meet the Commission's criteria for generally accepted, direct Canadian talent development, as set out in PN 1990-111.

Other matters

The Commission encourages the licensee to consider employment equity issues in its hiring practices and in all other aspects of its management of human resources (PN 1992-59).
