Change in the ownership structure of Travel TV

The Commission approves the application by Bell Globemedia Inc. for authority to change the ownership structure of the national Category 1 specialty television service called Travel TV from that approved in Decision CRTC 2000-458 dated 24 December 2000.

In that decision, the Commission authorized an ownership structure for Travel TV which was to consist of a general partnership. CTV Television Inc. (CTV) was to hold 49% of the partnership interest in the general partnership. The controlling partnership interest (51%) in Travel TV was to be held by BCE Media Inc. / Groupe TVA Inc., itself a limited partnership to be composed of BCE Media Inc. (approximately 80%) and Groupe TVA Inc. (approximately 20%) as limited partners. Indirect effective control of Travel TV, as originally authorized, was to reside with BCE Inc. through its ownership of BCE Media Inc.

As proposed in the current application, and hereby approved, Travel TV will now be owned 100% by CTV. The Commission notes that this change in ownership structure will have no impact on the ultimate ownership or management of the undertaking, since BCE Inc., through Bell Globemedia Inc., holds indirect effective control of CTV.

The Commission will issue a licence to CTV Television Inc. expiring 31 August 2007. The licence will be subject to the same terms and conditions as those contained in the Decision 2000-458, as well as to those set out in Appendix 1 to Public Notice CRTC 2000-171 of 14 December 2000 which introduced decisions pertaining to the licensing of this and many other new digital pay and specialty television services.
