Transfer of control and shares - Bragg Communications Incorporated or one of its wholly owned subsidiaries, on behalf of Access Communications Incorporated, Halifax Cablevision Limited, and Access Cable Television Bedford/Sackville Limited requests authority to acquire the effective control of these licensee companies and their licensed subsidiary companies. These companies are cable distribution licensees serving numerous locations in the province of Nova Scotia.
The Commission approves the above-noted applications for authority to effect a change in the effective control of Access Communications Incorporated, (Access) and its wholly owned subsidiary King's Cable Limited (King's Cable), Halifax Cablevision Limited (Halifax), and its wholly owned subsidiary Bay Communications Incorporated and Access Cable Television Bedford/Sackville Limited. The change in effective control of Access will be effected through the transfer of 75% of the issued and outstanding shares of Delmar Keatings Holdings Limited, a wholly owned subsidiary of Shaw Cablesystems Company being transferred to Bragg Communications Incorporated (Bragg Communications) or one of its wholly owned subsidiaries. As a result of the aforementioned change Bragg Communications will ultimately own the 45% interest held by Access in Halifax. The change in effective control of Access Cable Television Bedford/Sackville Limited will be effected through the transfer of all the issued and outstanding shares held by Shaw Cablesystems Company being transferred to Bragg Communications or one of its wholly owned subsidiaries.
The Commission notes that Bragg Communications, will now exercise control over Access, and its wholly owned subsidiary King's Cable, and Halifax, and its wholly owned subsidiary, Bay Communications Incorporated, and Access Cable Television Bedford/Sackville Limited. The Commission expects Bragg Communications to advise and supply all the necessary corporate information, if a wholly owned subsidiary of Bragg Communications will be holding the shares of the aforementioned transactions.
Unless advised otherwise the Commission will modify its ownership records to reflect the authorized ownership of Access Communications Incorporated, and Access Cable Television Bedford/Sackville Limited, as shown in the attached appendix.
All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licence.
