Dear Mrs. McNair:

Re:  Application No. 200105321 - Approved to 31 August 2001
Request for an extension of the trust arrangement between Corus Entertainment Inc. and Mr. Joseph Garwood
Teletoon Canada Inc. - National

Reference is made to your letter of 19 April 2001 where you seek an extension of Mr. Joseph Garwood's authority to act as trustee under the terms of the Trust Agreement between Corus Entertainment Inc. (Corus) and Mr. Garwood. The trust arrangement was established in the context of the purchase of all of the issued and outstanding shares in the capital of Teletoon Canada Inc. (Teletoon) owned by Nelvana Limited (Nelvana). The authority is to expire on 30 April 2001.

The Commission has considered your request and has decided to extend the authority for the trust arrangement until 31 August 2001. Further, the Commission has considered the proposed correction to the trust arrangement and accepts the revised 1st page of the Trust Agreement as filed.

All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to the Teletoon licence.

Finally, this letter is not to be interpreted in any way as an indication that the Commission is predisposed to authorize the subsequent applications relating to the transaction.

Yours sincerely,

Ursula Menke
Secretary General

c.c. Joseph Garwood
