CTV corporate reorganization - approved |

The Commission has approved a series of applications by CTV Inc. on behalf of subsidiary licensees with the aim of effecting a multi-step corporate reorganization. The licensee has stated that the changes are for administrative purposes only. The Commission notes that this transaction represents an intra-corporate reorganization that does not alter the effective control of the licensee. The various steps and applications involved in the reorganization are described below. |

Application 2000-2366-4 by 1406236 Ontario Inc. (now known as Bell Globemedia Inc.) is approved. As a result of this approval, the control of CTV Inc. is transferred to 2000670 Ontario Limited (Holdco), a newly incorporated subsidiary of CTV Inc., by transferring all of the issued and outstanding shares of CTV Inc. to Holdco. |

Applications as set out in Appendix I to this decision, by 3844609 Canada Inc. (Newco) are approved. These approvals result in authority to acquire all of the assets of CTV Television Inc. Upon surrender of the current licence for each of the undertakings listed in Appendix 1, the Commission will issue a new licence to Newco, under the same terms and conditions as the current licence. This phase of the reorganization excludes CTV Television Inc.'s existing interests in CTV Sports Net Inc. (licensee of Sportsnet), 3216195 Canada Inc. (licensee of Sports/Specials DTH-PPV), and History Television Inc. (licensee of History Television). |

Applications by Holdco, as set out in Appendix II to this decision, are also approved. These approvals grant authority to transfer direct and indirect ownership interests that CTV Inc. currently owns, through a wind up of CTV Inc. into Holdco. These acquisitions affect the ownership of certain licensees and change the control of certain subsidiary licensees. |

Applications by Holdco, as set out in Appendix III to this decision, are approved. This final step grants the authority to transfer direct and indirect ownership interests that CTV Television Inc. and 1155638 Ontario Inc. currently own, through a wind up of both companies into Holdco. |

The Commission notes that the corporate reorganization also affects the ownership of certain category 2 digital specialty services authorized to the CTV Family Group. The list of these services is set out in Appendix IV to this decision. The Commission notes that a licence for a category 2 service will only be issued once each licensee has filed all of the incorporating and other related documents, clearly demonstrating that it is a qualified corporation as defined in the Direction to the CRTC (Ineligibility of non Canadians). The Commission notes that this corporate reorganization does not affect the ownership of these category 2 digital specialty services and that the licensee of each category 2 undertaking will confirm its ownership when it requests the issuance of its category 2 digital licence. |

The Commission notes that this licensee is subject to the Employment Equity Act that came into effect on 24 October 1996 and therefore files reports concerning employment equity with Human Resources Development Canada. |
