Filing requirements per Decision CRTC 2000-86 – Acquisition by CTV Inc. of an 80% controlling interest in NetStar Communications Inc.

The Commission announces that it has accepted, by Letter of Authority A00-0083 dated 16 August 2000, the material filed by CTV Inc. in accordance Decision CRTC 2000-86, dated 24 March 2000. In that decision, the Commission approved CTV’s application to acquire an 80% controlling interest in NetStar Communications Inc. (NetStar), subject to certain conditions.

CTV has filed the following material:
  • a copy of the amended Shareholders Agreement between CTV, NetStar and ESPN whereby section 5.3.1 of the Agreement has been removed;
  • a copy of the final version of the Trademark Licence Agreement between CTV, NetStar and ESPN. Substantial revisions were made to the Agreement, including the removal of the right to terminate the agreement without cause;
  • a revised benefits package to replace the $11.7 million originally proposed for coverage of the Canada Games and Les Jeux du Québec;CTV proposes to reallocate the amountto independent third parties not related to CTV.

In its letter, the Commission reminded the licensee that the two sports specialty programming services, The Sports Network Inc. (TSN) and Le Réseau des sports (RDS) inc., should provide appropriate coverage of the Canada Games and Les Jeux du Québec as part of their existing mandates.

In addition, the Commission reminded CTV that Decision 2000-86 also required it to file, within one year of the decision, an application to divest of its interest in CTV SportsNet, and to confirm that it no longer manages SportsNet or votes any of SportsNet’s shares.
