CPC wishes to implement an intra-corporate reorganization to facilitate the sale of its interest in The Family Channel Inc. as required by CRTC Decision 2000-222. The reorganization will involve the transfer of all the radio assets, as well as the shares in the capital of CKIK-FM Limited, SuperChannel Ltd., Corus VC Ltd. (formerly WIC VC Ltd.), MovieMax! Ltd., and Electronic Digital Delivery Inc., to a newly incorporated subsidiary of Corus ("Newco"). |

The reorganization will involve a number of steps that would result in the issuance, exchange and redemption of shares between CPC, Corus and Newco. These transactions would be completed almost simultaneously with the roll out of the radio assets to Newco. Once the reorganization is completed the only asset held by CPC would be its 50% ownership interest in The Family Channel Inc., which in turn will continue to hold its 40% ownership interest in Teletoon Canada Inc. Corus will then own all of the issued voting shares in the capital of Newco. Once the foregoing reorganization is effected, CPC may wind up Newco into Corus. |
