VARIOUS LOCATIONS ACROSS CANADA
Applications (as listed below) by CORUS ENTERTAINMENT INC. ("Corus"), on behalf of Corus Premium Corporation ("CPC) and Newco.
CPC wishes to implement an intra-corporate reorganization to facilitate the sale of its interest in The Family Channel Inc. as required by CRTC Decision 2000-222. The reorganization will involve the transfer of all the radio assets, as well as the shares in the capital of CKIK-FM Limited, SuperChannel Ltd., Corus VC Ltd. (formerly WIC VC Ltd.), MovieMax! Ltd., and Electronic Digital Delivery Inc., to a newly incorporated subsidiary of Corus ("Newco").
The reorganization will involve a number of steps that would result in the issuance, exchange and redemption of shares between CPC, Corus and Newco. These transactions would be completed almost simultaneously with the roll out of the radio assets to Newco. Once the reorganization is completed the only asset held by CPC would be its 50% ownership interest in The Family Channel Inc., which in turn will continue to hold its 40% ownership interest in Teletoon Canada Inc. Corus will then own all of the issued voting shares in the capital of Newco. Once the foregoing reorganization is effected, CPC may wind up Newco into Corus.
Consequently, CPC is requesting authority to effect the following intra-corporate transactions:
i) transfer of assets (radio undertakings and their respective rebroadcasters):

The network would broadcast primarily in English, with regular inclusion of many of Canada’s 53 Native languages, as well as in French, Spanish and other languages.
The network would distribute programming to primarily Aboriginal and other radio stations across Canada and the programming would originate from the applicant’s recently licensed FM station in Toronto.
The programming will be distributed by satellite, using an audio sub-carrier made available to the applicant by the Aboriginal Peoples Television Network which operates a national satellite-to-cable Aboriginal programming network.
The applicant has also applied for a licence to operate an FM radio programming undertaking in Calgary and this application is also being considered at this public hearing.
