Intra-corporate reorganization involving a number of transactions

1.

The Commission approves the applications by Cogeco Câble inc. to carry out an intra-corporate reorganization whose main purpose is to transfer some Ontario operations to Cogeco Câble Canada inc. and to transfer most of the Quebec operations from Cogeco Câble Canada inc. to its current subsidiaries. The Commission notes that this reorganization will not affect the effective control of the licensees.

The different steps and applications involved in this reorganization are described below:
 

Ontario operations

Transfer of shares from Cableworks Communications Inc., 1110761 Ontario Inc., Cogeco Cablesystems Inc. and Cogeco Câble Canada inc., in favour of NOUCO and redemption of reciprocal shareholdings
 Applications to transfer effective control of CABLEWORKS COMMUNICATIONS INC. (200019168) (excluding its subsidiary HALTON CABLE SYSTEM INC.) and of 1110761 ONTARIO INC. (200019176) to NOUCO (OBCI).

4.

Liquidation of Nouco into Cogeco Câble inc.
 Application (200019184) to liquidate NOUCO (OBCI) into COGECO CÂBLE INC.

5.

Merger of Cogeco Câble Canada inc., Cableworks Communications Inc., 1110761 Ontario Inc. and Cogeco Cable Systems Inc. into a new organization known as Cogeco Câble Canada inc. (merged).

 

Quebec operations

Applications to transfer the assets of the cable distribution undertakings serving Louiseville (200018277) and Ste-Gertrude (200018285) to Câblodistribution Le Rocher inc., now known as COGECO CÂBLE MAURICIE INC.

Applications to transfer the assets of the cable distribution undertakings serving Beaulac (200018045); Bernierville (200018441); Courcelles (200018459); East-Broughton (200018467); Ham-Nord (200018475); La Guadeloupe/St-Évariste/St-Honoré (200018483); Montmagny (200018491); St-Benoît-Labre (200018509); St-Ephrem-de- Beauce (200018516); St-Georges (200018524); St-Georges (MDS) (200018532); St-Ludger (200018540); St-Méthode de Frontenac (200018558); St-Prosper (200018566); Saint-Romain (200018574); St-Théophile (200018582); St-Victor (200018590); St-Vital-de-Lambton (200018508); Thetford Mines (200018615); Thetford Mines (MDS) (200018623); Tring-Jonction (200018649); Weedon (200018657) and Wottonville (200018855) to Télédiffusion Ste-Adèle inc., now known as COGECO CÂBLE BEAUCE INC.

Applications to transfer the assets of the cable distribution undertakings serving Alma (200018293); Roberval/Chambord (200018301); Girardville (200018318); Lac Bouchette (200018326); Lamarche (200018665); Normandin (200018334); Péribonka (200018673); St-Eugène (200018962); St-François (200018970) and St-Thomas-Didyme (200018342) to Câble Laurentides ltée, now known as COGECO CÂBLE LAC-ST-JEAN INC.

Applications to transfer the assets of the cable distribution undertaking serving Rimouski (200018350) to Emtel inc., now known as COGECO CÂBLE RIMOUSKI INC.

Applications to transfer the assets of the cable distribution undertakings serving Baie-Comeau (200018756); Forestville (200018764) and Sept-Iles/Port Cartier (200018772) to Câblo Distribution G inc., now known as COGECO CÂBLE GASPÉSIE INC.

Applications to transfer the assets of the cable distribution undertakings serving Lac Carré/St-Faustin, Domaine Lauzon, Lac Supérieur (200018780); Mont-Tremblant/St-Jovite and surrounding area (200018798); Ste-Adèle (200018806); Ste-Agathe (200018813) and St-Donat (200018821) to Télécable Provincial inc., now known as COGECO CÂBLE LAURENTIDES INC.

12.

Applications to transfer the assets of the cable distribution undertakings serving Acton Vale (200018368); Bury (200018863); Danville (200018376); Drummondville (200018384); Magog (200018392); Notre-Dame-du-Bon-Conseil (200018400); St-Alphonse-de-Dudswell (200018871); St-Guillaume (200018839); St-Théodore (200018847); Tingwick (200018631) and Valcourt (200018417) to Télécâble St-Donat inc., now known as COGECO CÂBLE ESTRIE INC.

Applications to transfer the assets of the cable distribution undertakings serving Rivière-Beaudette (200018699); St-Anicet (200018707); Ste-Justine de Newton (200018714) and St-Hyacinthe (200018722) to Valleyfield Transvision inc., now known as COGECO CÂBLE MONTÉRÉGIE INC.
