Intracorporate reorganization

 

The Commission approves the applications by Corus Entertainment Inc. (Corus), on behalf of Corus Premium Corporation (CPC) and Newco, to carry out the intracorporate reorganization described below.

1.

CPC wishes to implement this intracorporate reorganization to facilitate the sale of its interest in The Family Channel Inc., as required by Decision CRTC 2000-222. The reorganization will involve the transfer to a newly-incorporated subsidiary of Corus (Newco) of:

 
  • all of the assets of the radio programming undertakings and networks listed in the appendix to this decision;
 
  • ownership and control of CKIK-FM Limited, SuperChannel Ltd., Corus VC Ltd. (formerly WIC VC Ltd.) and MovieMax! Ltd; and
 
  • control of Electronic Digital Delivery Inc.

2.

Upon surrender of the current licences, the Commission will issue licences to Newco for the radio programming undertakings and networks listed in the appendix. The terms and conditions of licence are also set out in the appendix.

The reorganization will take place in a number of steps. It will result in the issuance, exchange and redemption of shares between CPC, Corus and Newco. The transaction will be completed almost simultaneously with the roll out of the radio assets to Newco.

Once the reorganization is completed, the only asset held by CPC will be its 50% ownership interest in The Family Channel Inc. The latter will continue to hold its 40% ownership interest in Teletoon Canada Inc. Corus will own all of the issued voting shares of Newco.

Following implementation of the reorganization, Corus intends to wind up Newco into Corus. Under the wind up, the assets of the radio undertakings and networks and the ownership of the companies acquired by Newco in this decision will be transferred to Corus.

The Commission approves this transaction. However, the Commission will issue new licences to Corus and reflect the ownership changes only when Corus has confirmed, in writing, that it has completed the wind up. The Commission expects Corus to file the relevant documents within 10 days of completion of the wind up. The Commission will then, upon surrender of the licences issued to Newco, issue licences to Corus for the radio undertakings and networks acquired by Newco in this decision. The licences will expire on their current expiry dates.

7.

The Commission notes that this licensee is subject to the Employment Equity Act that came into effect on 24 October 1996 and therefore files reports concerning employment equity with Human Resources Development Canada.

Conditions of licence

 

The licences will be subject to the conditions specified in the licences to be issued, as also set out in Public Notice CRTC 1999-137. In addition CHML Hamilton and CKNW New Westminster will be subject to the following:

 

CHML

By condition of licence, the licensee shall, as an exception to the percentage of Canadian musical selections set out in sections 2.2(8) and 2.2(9) of the Radio Regulations, 1986:

(a) in any broadcast week where at least 90% of musical selections from content category 2 that it broadcasts are selections released before 1 January 1981:

(i) in that broadcast week, devote 30% or more of its musical selections from content category 2 to Canadian selections broadcast in their entirety; and

(ii) between 6 a.m. and 6 p.m., in the period beginning on Monday of that week and ending on Friday of the same broadcast week, devote 30% or more of its musical selections from content category 2 to Canadian selections broadcast in their entirety;

For purposes of this condition, the terms "broadcast week"; "content category" and "musical selection" shall have the meaning set out in section 2 of the Radio Regulations, 1986.

The Commission reminds the licensee that it must specify, on music lists provided to the Commission, the year of release for all musical selections broadcast.

CKNW

By condition of licence, the licensee shall, as an exception to the percentage of Canadian musical selections set out in sections 2.2(8) and 2.2(9) of the Radio Regulations, 1986:

(b) in any broadcast week where at least 90% of musical selections from content category 2 that it broadcasts are selections released before 1 January 1981:

(i) in that broadcast week, devote 30% or more of its musical selections from content category 2 to Canadian selections broadcast in their entirety; and

(ii) between 6 a.m. and 6 p.m., in the period beginning on Monday of that week and ending on Friday of the same broadcast week, excluding those periods referred to in paragraphs (b)(i) and (b)(ii), devote 30% or more of its musical selections from content category 2 to Canadian selections broadcast in their entirety;

(b) in those periods of category 2 music:

(i) consisting exclusively of music composed before 1956, devote a weekly average of 2% or more of its musical selections from content category 2 broadcast during those periods to Canadian selections broadcast in their entirety;

(ii) consisting of 90% or more but not exclusively, of music composed before 1956, devote a weekly average of 10% or more of its musical selections from content category 2 broadcast during those periods to Canadian selections broadcast in their entirety.

For purposes of this condition, the terms "broadcast week"; "content category" and "musical selection" shall have the meaning set out in section 2 of the Radio Regulations, 1986.

With regard to the above-noted condition of licence, whenever requested by the Commission to submit information concerning the station's broadcasting of Canadian music, the licensee must ascertain the date of composition of the selections it broadcasts and it must identify the programming periods which include the broadcast of pre-1956 musical selections and musical selections released before 1 January 1981 but after 1955.
