Corporate reorganization |

The Commission approves the applications by BCE Inc., the limited partner, and Bell ExpressVu Inc., the general partner, which operate as Bell ExpressVu Limited Partnership, to carry out a reorganization. Under this reorganization, BCE Inc. will transfer its limited partnership interest to 3752097 Canada Inc. (Holdco). Bell ExpressVu Inc. will continue as general partner. |

Currently, Bell ExpressVu Limited Partnership operates a direct-to-home (DTH) broadcasting distribution undertaking, a DTH pay-per-view undertaking and a satellite relay distribution undertaking. Upon surrender of the current licences for these undertakings, the Commission will issue licences to Bell ExpressVu Inc., the general partner, and Holdco, the limited partner. They will continue to operate as Bell ExpressVu Limited Partnership. |

The licences will expire on their current expiry dates: 31 August 2002 for the DTH satellite distribution undertaking and 31 August 2005 for the DTH pay-per-view undertaking and for the satellite relay distribution undertaking. The licences will be subject to the conditions in effect under the current licences as well as to any other condition that may be specified in the licences to be issued. |

This reorganization will not affect the ultimate control of the undertakings. Holdco is a wholly-owned subsidiary of BCE Inc. Both before and after the reorganization, the licensed undertakings are and will be effectively controlled and wholly owned by BCE Inc. |

This licensee is subject to the Employment Equity Act that came into effect on 24 October 1996 and therefore files reports concerning employment equity with Human Resources Development Canada. |
