 The Commission has received the following application:

QUEBEC AND ATLANTIC REGION

1.  MONTRÉAL, GATINEAU, SHAWINIGAN, MAGOG, ROUYN-NORANDA, VAL D'OR, TROIS-RIVIÈRES, JONQUIÈRE, QUEBEC CITY AND CHICOUTIMI, Quebec

 Transfer of control

1.  On 9 July, Radiomutuel inc. (Radiomutuel) filed an application for authority from the Commission to change the effective control and ownership of broadcasting undertakings from Radiomutuel to Astral Communications inc. (Astral).

The  transfer of all the shares of Radiomutuel to Astral was made through a recently formed wholly-owned subsidiary, Astral Acquisition inc., under an offer made public on 8 June 1999.

2.  This transaction affects the following services:

·  8 French-language FM radio stations and 3 AM radio stations in Quebec;

·  the radio network, Radio Énergie FM, consisting of the 8 Radiomutuel FM stations and 2 affiliated stations; and

·  2 French-language specialty services, Canal Vie and Canal Z.

The  transaction also includes the transfer of ownership of the services in which Radiomutuel holds a 50% interest:

·  MusiquePlus Inc., licensee of the specialty services MusiquePlus and Musimax
(50% held by CHUM Limited);

·  Les Entreprises Radiomédia inc., licensee of the radio station CKAC Montréal, of the AM radio network Radiomédia (50% held by Télémédia Radio inc.); and

·  Radiomédia inc., licensee of the radio station CHRC Quebec City (50% is held by Télémédia Radio inc.).

3.  The Commission notes that as a result of the transaction, Astral would obtain control of 2 new French-language specialty services in Quebec. Astral would then have direct and indirect interests in 9 French-language specialty services in Quebec.

4.  The Commission also notes that the transaction includes the change of ownership of Canal Vie and Canal Z, which would occur during the first licence term.

5.  Parties may also wish to comment on whether the transaction would have the effect of encouraging and stimulating competition in the radio market in Quebec, in terms of programming diversity and the choices offered to consumers.

 Intervention
