Acquisition of assets
|
1. Following a Public Hearing in the National Capital Region held on 20 July 1998, the Commission approves the applications by Vidéotron ltée for authority to acquire the assets of the cable distribution undertakings serving the above-noted localities from Transvision (East Angus) inc., Transvision Lennoxville inc. and Transvision Plus inc., and for broadcasting licences to continue the operation of these undertakings.

2. The Commission will issue licences to Vidéotron ltée, expiring 31 August 2000, the current expiry dates, upon surrender of the current licences. The operation of the undertakings serving Granby (class 1) as well as Cowansville and Lennoxville (class 2) will be regulated pursuant to Parts 1, 2 and 5 of the Broadcasting Distribution Regulations (the regulations). The operation of the undertakings serving East Angus and Waterloo (class 3) will be regulated pursuant to Parts 1 and 3 of the regulations. The licenses will be subject to the same conditions as those in effect under the current licences, except as otherwise amended as a consequence of the new regulations, as well as to any other condition specified in the appendix to this decision and in the licences to be issued.

3. The purchase price relating to this transaction is $34,250,000. Based on the evidence filed with the applications, the Commission has no concerns with respect to the availability or the adequacy of the required financing.

4. The Commission notes that this licensee is subject to the Employment Equity Act that came into effect on 24 October 1996 (1996 EEA), and therefore files reports concerning employment equity with Human Resources Development Canada. As a result of a consequential amendment to the Broadcasting Act, the Commission no longer has the authority to apply its employment equity policy to any undertaking that is subject to the 1996 EEA.

Conditions of licence and authorizations for the cable distribution undertakings serving East Angus, Lennoxville, Cowansville, Granby and Waterloo, Quebec
|
All locations
|
The licensee may receive any authorized signals over the air, or from any licensed or exempted Canadian broadcasting distribution undertaking authorized to provide signals to other broadcasting distribution undertakings.
|
It is a condition of licence that, for community programming and any other programming of a service that it originates, the licensee adhere to the guidelines on the depiction of violence in television programming set out in the Canadian Association of Broadcasters' Voluntary Code Regarding Violence in Television Programming, as amended from time to time and approved by the Commission.

Cowansville
|
The licensee is authorized to continue to distribute CFTU-TV (IND) Montréal and WVNY-TV (ABC) Burlington, Vermont, as part of the basic service. The Commission notes that the licensee receives these signals via optical fibre.

The licensee is authorized to distribute WFFF-TV (FOX) Burlington, Vermont, on a discretionary tier of its undertaking. The Commission notes that the licensee receives this signal over the air.
|
The licensee is relieved, by condition of licence, from the requirement of section 25 of the regulations that it distribute the signals of CFCF-TV (CTV) Montréal and CFKS-TV (TQS) Sherbrooke on unrestricted channels. Should the quality of the signals deteriorate significantly, the Commission expects the licensee to undertake immediate corrective action including, if necessary, the distribution of the services on other channels.

Granby
|
The licensee is authorized to distribute WFFF-TV (FOX) Burlington, Vermont, on a discretionary tier of its undertaking. The Commission notes that the licensee receives this signal over the air.
