The Commission has received the following applications:
ONTARIO REGION
1. ACROSS CANADA
Application (199705456) by STAR CHOICE TELEVISION NETWORK INCORPORATED (STNI), for authorization to effect a merger between STNI, a wholly owned subsidiary of Star Choice Communications Inc. (Star Choice) and Homestar Services Inc. (Homestar), a wholly-owned subsidiary of Shaw Communications Inc. (Shaw). Both Homestar and STNI have obtained approval from the Commission to operate direct to home (DTH) satellite services. Following the proposed transaction, Shaw's interest in Star Choice will range between 49.3% to 60.9% of the voting shares, depending on the number of outstanding warrants and options that are exercised by other shareholders. The application states control of STNI will reside with the board of directors, with Shaw having the ability to nominate 50% of the members of the board of directors. In the application the merged DTH operation will carry on pursuant to the terms of Decision CRTC 96-529 and the accompanying conditions of licence applicable to STNI thereunder.
2. ACROSS CANADA
Application (199705464) by STNI to amend the licence to include a condition of licence where STNI would be prevented from granting any undue preference and/or advantage to Shaw or its affiliates.
The Commission notes that should this application be approved, the approval granted to Shaw Communications Inc. on behalf of a company to be incorporated (Homestar) would not be implemented.

In the event that the application is brought to the oral phase of a hearing it would be helpful to the Commission if you provide reasons why your written comments are not sufficient and an appearance is necessary;
