Transfer of control of CJDC and CJDC-TV
|
1. Consistent with the procedures outlined in Public Notice CRTC 1992-72 dated 2 November 1992 entitled A Review of the CRTC's Regulations and Policies for Radio, the Commission announces that it has approved, by Letter of Authority A97-0136 dated 6 October 1997, the transfer of control of Mega Communications Ltd., licensee of the radio programming undertaking CJDC Dawson Creek and its transmitter CJDC-1-FM Tumbler Ridge, and of the television programming undertaking CJDC-TV Dawson Creek and its transmitters CJDC-TV-1 Hudson Hope and CJDC-TV-2 Bullhead Mountain, through the transfer of all the securities of the licensee, from seven shareholders to 538775 B.C. Ltd., a wholly-owned subsidiary of Okanagan Skeena Group Limited.

2. In approving this application, the Commission has considered as important elements the size and nature of the transaction, the viability of the broadcasting undertaking in question and the size of the market involved. Given these elements, the Commission has assessed as important unquantifiable benefits the experience and resources of the purchaser as a licensee of radio, television and cable undertakings in British Columbia.

3. The Commission has accepted as a quantifiable benefit, the $150,000 expenditure related to two annual scholarship funds. It considered, however, that the proposal to construct a digital radio transmitter at Kelowna at a cost of $300,000 is a regular business expense and, therefore, not a quantifiable benefit within the meaning given to that term in Public Notice CRTC 1993-68 entitled Applications of the Benefits Test at the Time of Transfers of Ownership or Control of Broadcasting Undertakings. Nevertheless, consistent with the Benefits Policy, it is required that this initiative, which was put forward by the purchaser as part of its application, be implemented as proposed.
