Transfer of control

Following a Public Hearing in Montréal beginning on 7 July 1997, the Commission approves the application for authority to transfer all the issued and outstanding shares of Transvision Sawyerville inc., licensee of the cable distribution undertaking serving Sawyerville, to Câble-Axion Digitel inc. (Axion-Digitel). As a result of this transaction, Axion Digitel will assume effective control of Transvision Sawyerville inc.

This authority will only be effective at such time as the Commission receives from Axion-Digitel an executed shareholder agreement, which has been amended in a manner acceptable to the Commission, in response to the concerns relating to the ownership and control of Axion-Digitel and its parent corporation Consortium Câble-Axion Digitel inc. These concerns are described in Decision CRTC 97-635, also released today.

Moreover, the authority granted herein shall lapse, and no licence will be issued, if Axion-Digitel does not file a proposed amendment to the agreement for the Commission’s approval within 60 days of this decision or within such further periods of time as approved in writing by the Commission on application prior to the expiry of the permitted period of time.

The purchase price of the shares is $325,000. Based on the evidence filed with the application, the Commission has no concerns with respect to the availability or the adequacy of the required financing and is of the view that approval of this application is in the public interest.

This decision is to be appended to the licence.
