Acquisition of assets
1. Following a Public Hearing in Toronto beginning 26 May 1997, the Commission approves the applications by Cogeco Cable Inc. (Cogeco), on behalf of 3305911 Canada Inc., for authority to acquire the assets of the cable distribution undertakings serving the above-noted localities from Cogeco Cable Canada Inc., and for broadcasting licences to continue the operation of these undertakings.
2. The Commission will issue licences to 3305911 Canada Inc., expiring at the same time as the current licences, that is 31 August 1999 in the case of Kamloops; 31 August 2000 in the case of Kingston, Chilliwack and Courtenay/Comox/Powell River; 31 August 2001 in the case of Estevan and Weyburn; 31 August 2002 in the case of Lethbridge; and 31 August 2003 in the case of Burlington, upon surrender of the current licences issued to Cogeco Cable Canada Inc. The authority granted herein is subject to the same conditions as those in effect under the current licences, as well as to any other condition specified in the licences to be issued.
3. In approving these applications, the Commission has taken into account the fact that the transaction represents an intra-corporate reorganization without any change occurring in the control or management of the licensee.
4. At the time of submitting these applications, Cogeco stated that the intra-corporate reorganization contemplated would be contingent upon Commission approval of another series of applications submitted by Cogeco, on behalf of itself, Rogers Cablesystems Limited, certain of each of their subsidiaries and 3305911 Canada Inc., to effect various transactions. Those applications were considered at a public hearing held on 17 March 1997 in the National Capital Region, and were approved in Decision CRTC 97-157 dated 24 April 1997.
This decision is to be appended to each licence.
