Acquisition of assets
Following a Public Hearing in Montréal beginning on 24 February 1997, the Commission approves the applications for authority to acquire the assets of CJBK and CJBX-FM London from Radiocorp Inc. (Radiocorp), and for broadcasting licences to continue the operation of these undertakings.
The Commission will issue licences to London Communications Ltd., expiring 31 August 2003, upon surrender of the current licences. The licences will be subject to the same conditions as those in effect under the current licences as well as to any other condition specified in this decision and in the licences to be issued.
The Commission notes that the transactions proposed within these applications represent an inter-corporate reorganization for financial and estate planning purposes.
In Decision CRTC 97-145 released today, the Commission approved applications by Radiocorp, for authority to transfer effective control of its holding company, Radiocorp Management Inc. (RMI), from Mr. Jack Schoone to RMI's shareholders by virtue of their ability to elect the Board of Directors. Upon completion of the proposed reorganization, Radiocorp will be owned (80%) by RMI and (20%) by 1177642 Ontario Limited, a holding company that is ultimately owned by Mr. J. MacLeod and London Communications Ltd. will be owned (66.7%) by Radiocorp and (33.3%) by Mr. D. Chamberlain.
It is a condition of CJBX-FM's licence that this station not be operated within the Specialty format as defined in Public Notice CRTC 1995-60, or as amended from time to time by the Commission.
In Public Notice CRTC 1992-59, the Commission announced implementation of its employment equity policy. It advised licensees that, at the time of licence renewal or upon considering applications for authority to transfer ownership or control, it would review with applicants their practices and plans to ensure equitable employment. In keeping with the Commission's policy, it encourages the licensee to consider employment equity issues in its hiring practices and in all other aspects of its management of human resources.
It is a condition of each licence that the licensee adhere to the guidelines on gender portrayal set out in the Canadian Association of Broadcasters' (CAB) "Sex-Role Portrayal Code for Television and Radio Programming", as amended from time to time and accepted by the Commission. The application of the foregoing condition of licence will be suspended as long as the licensee remains a member in good standing of the Canadian Broadcast Standards Council.
It is a condition of each licence that the licensee adhere to the provisions of the CAB's "Broadcast Code for Advertising to Children", as amended from time to time and accepted by the Commission.
In view of the approval granted herein, it would appear that no further action is required on the applications 951024900 and 951025600 submitted by Radiocorp for the renewal of these licences which were announced in Public Notice CRTC 1996-98, dated 12 July 1996.
However, the new licensee, London Communications Ltd., may wish to apply for authority to adopt the condition of licence relating to Canadian talent development, as described in Public Notice CRTC 1996-114 entitled "Implementation of a New Approach to Canadian Talent Development".
This authority will only be effective and the licences will only be issued at such time as the applicant has executed and filed with the Commission a unanimous shareholder's agreement that is acceptable to the Commission.
This decision is to be appended to each licence.
