Acquisition of assets and licence amendments
|
|
Following a Public Hearing in Québec beginning on 9 July 1996, the Commission approves the applications for authority to acquire the assets of the cable distribution undertakings serving the above-noted localities from Télécâble Matawini inc., and for broadcasting licences to continue the operation of these undertakings.

Upon surrender of the current licences, the Commission will issue licences to Cable Média Plus inc., expiring 31 August 2002. The operation of these undertakings will be regulated pursuant to Parts I, III and IV of the Cable Television Regulations, 1986 (the regulations). The authority granted herein is subject to the same conditions as those in effect under the current licences, as well as to any other condition specified in this decision and in the licences to be issued.

The Commission notes that this transaction is part of a corporate reorganization, Télécâble Matawini inc. being a wholly-owned subsidiary of Câble Média Plus inc. Therefore, the effective control of these undertakings will not be altered and will remain with the shareholders Chouinard, Dussault, Dussault et Fortin.

The Commission approves the licensee's request with respect to section 22 of the regulations. Accordingly, the licensee is relieved, by condition of licence, of the requirement of paragraph 22(1)(a) of the regulations that it distribute the priority local service of CBFT-3 (CBC) Saint-Michel-des-Saints. The applicant will distribute instead the signal of the CBC French-language programming service received via satellite.

In an opposing intervention to these applications, Canadian Satellite Communications Inc. (Cancom) maintained that the applicant should not be exempted from section 23.
|

In reply to this intervention, the applicant proposed to add, for Saint Zénon and Lac-Saint-Louis, the distribution of CFCF-TV (CTV) Montréal, received via satellite from Cancom, as part of the basic service. The applicant indicated that due to the poor quality of this signal, received at its local head end, it now proposes to receive this signal, via satellite from Cancom, in addition to CFTM-TV (TVA) and CFJP-TV (TQS) Montréal and WTOL-TV (CBS) Toledo, Ohio. The Commission notes that as a result of this change, the applicant will be in compliance with section 23 of the regulations with respect to the undertaking serving Saint-Zénon and Lac-Saint-Louis.

With respect to the undertaking serving Saint-Michel-des-Saints, the applicant indicates that, in view of the good quality of CFTM-TV (TVA) Montréal, it will now receive this signal over the air instead of via satellite from Cancom. Therefore, the applicant now proposes to distribute only two Cancom signals, WTOL-TV (CBS) Toledo, Ohio and CFJP-TV (TQS) Montréal, instead of three as originally proposed.

The applicant further stated that distribution of additional English-language services from Cancom was not warranted in view of the fact that the population it is authorized to serve is almost exclusively francophone.

The Commission is satisfied with the applicant's reply to Cancom's intervention. Accordingly, with respect to the undertaking serving Saint-Michel-des-Saints, the applicant is relieved, by condition of licence, of the requirement that it distribute at least four television programming services as provided for in section 23 of the regulations, so long as it distributes only those U.S. television services listed in the current application or as may be authorized by the Commission.

In Public Notice CRTC 1992-59, the Commission announced implementation of its employment equity policy. It advised licensees that, at the time of licence renewal or upon considering applications for authority to transfer ownership or control, it would review with applicants their practices and plans to ensure equitable employment. In keeping with the Commission's policy, it encourages the applicant to consider employment equity issues in its hiring practices and in all other aspects of its management of human resources.
