(COGECO), 1630-6th Street, Suite 200, Trois-Rivières, Quebec, G8Y 5B8, on behalf of TÉLÉDIFFUSION STE-ADÈLE INC., for authority to transfer the effective control of the licensee through the transfer of all the issued and outstanding shares of the company owned by Maurice Guesthier, Marc Guesthier and Magalie Guesthier to Cogeco Cable Canada Inc. (Cogeco Cable).

As a result of this transaction, Télédiffusion Ste-Adèle Inc. will become a wholly-owned subsidiary of Cogeco Cable, a subsidiary of Cogeco.
