Applications by JOHN L. BRAGG, P.O. Box 158, Oxford, Nova Scotia, B0M 1P0, requesting authority to effect an intra-corporate reorgani- zation of its (cable) distribution undertakings. The proposed intra-corporate reorganization involves several shares and assets transfers at various stages of the reorgani- zation. The proposed reorganization is broken down into two parts. Part A deals with share transfers, while Part B deals with asset transfers. Following the implementation of these transfers, the proposed intra-corporate reorganization will not affect the ultimate effective control of all the cable under- takings currently held by Mr. John L. Bragg.
PART A
For authority to transfer all of its interest in licensee companies, through a series of transfers, resulting in the incorporation of New Holdco, a company being controlled by Tidnish Holdings Limited, which in turn is controlled by John L. Bragg. New Holdco will in turn be the parent company of Cable Holdco who in return will wholly own two new incorporated companies, namely Wholly Owned Cable and Partially Owned Cable.
1) WINDSOR AND SYDNEY, Nova Scotia; AND SUMMERSIDE, Prince Edward Island
Applications (941712200, 941917700) for authority to transfer the indirect effective control of K-Right Communications Limited (K-Right) by the transfer of shares of Oxford Communications Limited (Oxford) to New Holdco and subsequently the transfer of Oxford Communications Limited to Cable Holdco. Thereafter, K-Right, Oxford and Wholly Owned Cable will amalgamate and continue as Wholly Owned Cable. As a result of this amalgamation, Wholly Owned Cable will become the licensee of the (cable) distribution undertakings serving the above-mentioned localities.
2) PORTAGE LA PRAIRIE, SOUTHPORT AND MacGREGOR, Manitoba
Application (941713000) for approval to transfer the 80% interest of Portage Community Cablevision Ltd. as a result of the amalgamation of Halcorp Limited (the parent company) with New Holdco and to continue under the same name New Holdco.
3) HALIFAX AND RIVER HEBERT, Nova Scotia; AND PORT ELGIN, New Brunswick
Applications (941714800, 941715500) for approval to transfer the minority interest of the 34.35% interest in Halifax Cablevision Limited, the 49% interest in Scotia Cablevision Limited to Partially Owned Cable. The proposed intra-corporate reorganization also calls for the transfer of the 23.67% interest in Eastern Cablevision Limited and the 15.9% interest in Access Cable Television Limited will be transferred to Partially Owned Cable.
