Transfer of shares

Pursuant to Public Notice CRTC 1994-86 dated 27 July 1994, the Commission approves the application by YTV Canada, Inc. (YTV) for authority to transfer 11,346.66 shares (12.52%) following an option that was granted equally to Rogers Programming Services Inc. (Rogers) and to CUC Broadcasting Limited (CUC) from 1068308 Ontario Limited (1068308), a wholly-owned subsidiary of Atlantis Communications Inc. (Atlantis). Rogers and CUC will each receive 5,673.32 shares (6.26%).
By Letter of Authority A94-0094 dated 8 July 1994, the Commission approved the transfer of 40.62% of YTV's issued and outstanding voting shares from various shareholders to 1068308. YTV's current ownership structure consists of Rogers (28.04%), CUC (28.04%), Atlantis (40.62%) and the YTV Management Shares Purchase Plan (3.3%).
As part of the transfer of shares approved by Letter of Authority A94-0094, Atlantis offered equal options to Rogers and CUC for each to acquire 6.26% of YTV's issued and outstanding common shares.
As a result of the approval granted herein, the combined holdings of Rogers and CUC will increase to 68.6% of the shares. According to YTV's condition of licence number 13, any increase in the combined holdings of Rogers and CUC beyond 56.13% requires prior approval by the Commission.
As a result of this transaction, YTV's ownership structure will now consist of Rogers (34.3%), CUC (34.3%), 1068308 (28.10%) and YTV Management Purchase Plan (3.3%).
