BELL CANADA - AMENDED PROCEDURES RE PROPOSED TRANSFER OF ASSETS TO BELL SYGMA SUBSIDIARIES AND RELATED TRANSACTIONS

Background
|
On 25 January 1993, the Commission issued Bell Canada - Proposed Transfer of Assets to Bell Sygma Subsidiaries and Related Transactions, Telecom Public Notice CRTC 93-10 (Public Notice 93-10), in which it noted, among other things, that it had granted interim approval to Bell Canada (Bell) for the sale of certain assets used in meeting its data processing requirements to three new subsidiaries, Bell Sygma Inc., Bell Sygma Systems Management Inc. and Bell Sygma Telecom Solutions Inc.

In that Public Notice, the Commission established a proceeding to consider: (1) whether the proposed asset disposition is in the public interest and, if so, under what terms and conditions, if any, final approval should be granted, and (2) whether, as a result of the proposed asset sale and related transactions, adjustments are necessary for revenue requirement purposes. The Commission specified that persons wishing to participate in the proceeding were to file a notice of intention to participate with the Commission by 19 February 1993. Twenty-four parties registered to participate in the proceeding.

On 5 February 1993, Bell filed with the Commission an application for a general increase in rates for 1993 and 1994. In light of the interest shown in the Sygma proceeding and the potential relevance of the issues raised in that proceeding to Bell's revenue requirement, the Commission considers it appropriate to consider the Sygma application in the proceeding established to consider Bell's general rate increase application. The record of the Sygma proceeding will form part of the record of the general rate increase proceeding, and parties who have registered pursuant to Public Notice 93-10 are made parties to the general rate increase proceeding.

Procedure

1. Bell is directed to serve the documentation in the Sygma proceeding on all parties who file a notice of intention to participate in the general rate increase proceeding and who have not already received that material.

2. Pursuant to the procedures established in Public Notice 93-10 for the Sygma proceeding, parties filed requests for public disclosure pertaining to Bell's initial documentation by 26 February 1993. Bell filed its responses to those requests on 5 March 1993. As originally specified in Public Notice 93-10, the Commission will issue a determination with respect to those requests as soon as possible, and will direct that any information released pursuant to its determination be placed on the public record by 15 March 1993.

3. As originally specified in Public Notice 93-10, interrogatories addressed to Bell with respect to Sygma must be filed with the Commission and served on the company by 22 March 1993.

4. Thereafter, the procedures established for the general rate increase proceeding will supersede those established in Public Notice 93-10. Pursuant to those procedures, Bell is to file responses to any interrogatories, serving them on all parties, by 21 April 1993.

5. Consistent with its recent practice with respect to general rate increase applications, the Commission will issue, prior to 21 April, a letter setting out the procedures leading up to the central hearing, scheduled to begin on 17 May 1993.
