a) for approval to transfer 36,000 common voting shares (80%), from Messrs. George Sanderson (20%), Ian A. Mackenzie (20%), Miles Phillips (20%) and Ed Connery (20%), to Halcorp Limited (Halcorp), which is ultimately owned and controlled by John L. Bragg of Nova Scotia; and

b) to amend the licence to carry on the broadcasting receiving undertaking serving MacGregor, by deleting the condition of licence relieving the licensee from the requirement to distribute community programming on the community channel, as set out in Paragraph 9 (1)(g) of the Cable Television Regulations, 1986.

As a result of the above transaction, Halcorp would acquire effective control of Portage and the ownership would therefore be changed as follows:
