Following a Public Hearing held in the National Capital Region beginning on 21 November 1989, the Commission approves, in their entirety, the above-noted applications which are described as Parts A, B and C in this decision. The applications involve a corporate reorganization of the group of companies owned and controlled by Northern Cable Services Limited (Northern Services).

The Commission notes that the purpose of this major corporate reorganization is to segregate the radio operations of Northern Services' subsidiary company, Mid-Canada Communications (Canada) Corp. (Mid-Canada) and its subsidiary company CKCY 920 Limited, into Ottawa Valley Broadcasting Company Limited (OVB) in order to facilitate the sale of Mid-Canada's television operations and OVB's radio stations through separate transfers which will be subject to prior approval by the Commission.

The Commission's approval of the applications contained in Part A will result in the transfer of all of the radio assets held by Mid-Canada and all the shares of its wholly-owned subsidiary CKCY 920 Limited, to OVB along with the 45% partnership interest of CHUR-AM Radio General Partnership of North Bay now held by Mid-Canada. OVB will amalgamate with CKCY 920 Limited, under the name "Ottawa Valley Broadcasting Company Limited".

The applications are by OVB for approval to acquire the assets and for licences to continue the operations of radio stations CHNO, CFBR and CJMX-FM Sudbury, CKNS Espanola, CKNR Elliot Lake, CFCL Timmins, CFLH Hearst, CFLK Kapuskasing, CJNR Blind River and CKAP Kapuskasing, upon surrender of the current licences issued to Mid-Canada, on the same terms and conditions as the current licences; and by CKCY 920 Limited (licensee of radio stations CKCY and CJQM-FM Sault Ste. Marie and CJWA Wawa) to transfer all the issued and outstanding shares from Mid-Canada to OVB; and by OVB to acquire the 45% partnership interest of the CHUR-AM Radio General Partnership now held by Mid-Canada.

The Commission will issue the new radio broadcasting transmitting undertaking licences to Ottawa Valley Broadcasting Company Limited. The licences for CFCL Timmins, CFHL Hearst, and CFLK and CKAP Kapuskasing, will expire on 30 September 1990; the licence for CJMX-FM Sudbury will expire on 31 August 1992; and the licences for CHNO and CFBR Sudbury, CKNS Espanola, CKNR Elliot Lake and CJNR Blind River will expire on 31 August 1994. These are the expiry dates of the current licences and the licences will be subject to the same terms and conditions of the existing licences. Further, because the ownership transaction relating to radio stations CKCY and CJQM-FM Sault Ste. Marie and CJWA Wawa involves the transfer of securities rather than assets, the existing licences which expire 30 September 1990 remain in effect.

Approval of the applications contained in Part B will result in the transfer of all of the assets of the broadcasting receiving undertakings owned by Northern Services into its parent company, Northern Cable Holdings Limited (Northern Holdings).

The applications are by Northern Holdings to acquire the assets and the necessary licences to continue the operations of the broadcasting receiving undertakings serving the communities mentioned in the applications upon surrender of the current licences issued to Northern Services, on the same terms and conditions as the current licences.

The Commission will issue new broadcasting receiving undertaking licences for the undertakings previously owned by Northern Services to Northern Holdings. The licences will expire on their current expiry dates.

The Commission reminds the licensee that the new licences will be regulated under the currently applicable parts of the Cable Television Regulations, 1986 and will be subject to the same terms and conditions as the current licences.

Finally, the Commission's approval of those applications forming Part C of these transactions will result in the transfer of all of the issued and outstanding shares of OVB (licensee of CHRO Pembroke), Mid-Canada (licensee of CICI-TV Sudbury, CICI-TV-1 Elliot Lake, CITO-TV Timmins, CITO-TV-1 Kapuskasing, CITO-TV-2 Kearns, CFCL-TV Timmins, CFCL-TV-2 Kearns, CFCL-TV-3 Kapuskasing, CFCL-TV-6 Chapleau, CKNC-TV Sudbury, CKNC-TV-1 Elliot Lake, CHNB-TV and CKNY-TV North Bay, and CHRO-TV Pembroke), Sudbury Cable Services Limited (licensee of the broadcasting receiving undertaking serving Sudbury), Northshore Cable Services Limited (licensee of the broadcasting receiving undertakings serving Blind River, Elliot Lake, Espanola and Sturgeon Falls), Boulet Cable TV Ltd. (licensee of the broadcasting receiving undertakings serving Mattice and Hornepayne) and of Clear Crest Cable TV Limited (licensee of the broadcasting receiving undertakings serving Belle Vallée, Charlton, Cobalt, Elk Lake, Latchford, New Liskeard, Temagami North, Temagami South and Englehart) from Northern Services to Northern Holdings. The Commission notes that pursuant to Decision CRTC 89-693 dated 14 September 1989, Northern Services acquired 100% of the common voting shares of Clear Crest Cable TV Limited as well as its wholly-owned subsidiary, Nor Co-Ax Ltd., from four individual shareholders.
