 Applications (890342900, 890343700) by BLUEWATER TV CABLE LTD. owned by R.D. Evoy (50%), D.L. Baker (30%) and Donald L. Stinson (20%) by EX-CEM CABLEVISION LIMITED, indirectly owned by the same individuals, for approval to transfer, by way of shares, effective control (100%) of the above-mentioned licensees to Cablecasting Limited, which is indirectly owned and effectively controlled by David R. Graham of Toronto, Ontario.

2. NEWMARKET, Ontario
 Application (893190900) by CKAN 1984 LIMITED (CKAN), for approval to transfer effective control (80%) of the above-mentioned licensee to Emmerson Broadcasting Inc. (Emmerson) by way to the following share transfers:
a) 100 common shares (10%) of CKAN's parent company, Heritage Communications Group Ltd. (Heritage) from 695257 Ontario Inc. to Magna International Inc. (Magna) currently holding 450 common shares (45%); and
b) 450 common shares (45%) of Heritage from C.A. Connors & Associates Ltd. (Connors) to Magna which will then hold 1001 of Heritage;and
c) 80 common shares (80%) of CKAN held by Heritage to Emmerson Broadcasting Inc.
As a result of the above transactions approval of which is mutually conditional, effective control of the licensee will be exercised by Mr. Peter Emmerson who wholly owns and effectively controls Emmerson Broadcasting Inc.
