Applications by NORTHERN CABLE HOLDINGS LIMITED (Holdings) Sudbury, Ontario, on behalf of Northern Cable Services Limited (Northern) and its subsidiaries for approval to affect a corporate restructuring whereby shareholders, other than CUC Broadcasting Limited which currently hold 48% of Northern, representing about 52% of Northern will become 100% shareholders in Holdings. These shareholders will own Holdings in the same proportion as their respective interests in Northern upon acquisition of shares held by CUC.

As a result, Mr. Baxter Ricard, President and Chairman of the Board of Northern, currently with 20.07% of Northern's shares, will own 38.7% of the shares of Holdings through his company, the Sudbury Broadcasting Company Limited. Mr. Norman Bradley, Vice-president and General Manager, now with 17.44% of Northern's shares, will own 33.7% of the shares of Holdings through Radio and T.V. Distribution Limited.

Northern minority shareholders, including Northern employees, currently holding 14.32% of the Northern shares, will own 27.6% of the shares of Holdings.
|
|
Northern will became a wholly-owned subsidiary of Holdings, itself a company with no controlling shareholder or controlling group of shareholders. The applicant intends that a future application will be made in transfer the assets of the licensee when it is to be wound up into Holdings.
