CKKO-FM Kelowna – Corporate reorganization (Assets)

The Commission approves the application by Sun Country Radio Ltd. (Sun Country Radio) to acquire the assets of the radio programming undertaking CKKO-FM Kelowna from Sun Country Cablevision Ltd. (Sun Country Cablevision) and for a broadcasting licence to operate the undertaking under the same terms and conditions as those set out in Licensing of new radio stations to serve Kelowna, British Columbia, Broadcasting Decision CRTC 2008-62, 14 March 2008 (Broadcasting Decision 2008-62). The Commission did not receive any interventions in connection with this application.

Sun Country Radio is a corporation controlled by its board of directors. The same directors sit on both Sun Country Radio and Sun Country Cablevision's boards of directors. Sun Country Cablevision will continue to hold the licence to operate the cable broadcasting distribution undertaking serving Salmon Arm.

Sun Country Radio indicated that the acquisition of assets was undertaken solely for the corporate restructuring purposes of separating the radio undertaking from Sun Country Cablevision's other assets and assisting the existing shareholders with income tax and estate planning. CKKO-FM Kelowna will continue to be controlled by its board of directors.

The Commission notes that CKKO-FM Kelowna has not yet been implemented. The Commission will issue a broadcasting licence to Sun Country Radio Ltd. once the requirements for the issuance of the licence have been met as set out in Broadcasting Decision 2008-62. These requirements include the receipt by the Commission of notifications from the Department of Industry (the Department) that the proposed technical parameters do not create any unacceptable interference with aeronautical NAV/COM services and that, consistent with section 22(1) of the Broadcasting Act, the Department's technical requirements have been met and that a broadcasting certificate will be issued.

Finally, the Commission reminds the applicant that the undertaking must be operational at the earliest possible date but no later than 14 March 2010, unless an extension of time is approved by the Commission.
