CFEQ-FM Winnipeg - Acquisition of assets

  The Commission approves the application by Golden West Broadcasting Ltd. to acquire the assets of the radio programming undertaking CFEQ-FM Winnipeg from Kesitah Inc. and for a broadcasting licence to continue the operation of the undertaking under the same terms and conditions as those in effect under the current licence.
 

The application

The Commission received an application by Golden West Broadcasting Ltd. (Golden West) to acquire the assets of the radio programming undertaking CFEQ-FM Winnipeg from Kesitah Inc. and for a broadcasting licence to continue the operation of the undertaking under the same terms and conditions as those in effect under the current licence.

Golden West is controlled by Elmer Hildebrand Ltd., which in turn is controlled by Elmer Hildebrand.

The Commission did not receive any interventions in connection with this application.
 

Commission's analysis and determination

Because the Commission does not solicit competing applications for authority to transfer the ownership or control of radio, television and other programming undertakings, the onus is on the applicant to demonstrate that the benefits proposed in the application are commensurate with the size and nature of the transaction (refer to Public Notice 1998-41 and Broadcasting Public Notice 2006-158).

The value of the transaction, based on the terms of the Assets Purchase Agreement, is $725,000. Golden West did not propose any tangible benefits since the station has been in deficit since the commencement of operations.

Considering the size and nature of the proposed assets transaction, the Commission will not impose a requirement for Golden West to pay tangible benefits.

The Commission notes that it has had discussions with Kesitah Inc. during its first licence term concerning its difficulties in complying with its conditions of licence relating to specialty music. Golden West indicated that it is aware of these difficulties and committed to operating the station under the current conditions of licence while also including a strong news component in its programming. The Commission is satisfied with Golden West's commitment that it will meet all of its specialty music obligations.

The Commission is further satisfied that the transaction is in the public interest and that the integrity of its licensing process would not be compromised by its approval.

Accordingly, the Commission approves the application by Golden West Broadcasting Ltd. to acquire the assets of the radio programming undertaking CFEQ-FM Winnipeg from Kesitah Inc. and for a broadcasting licence to continue the operation of the undertaking under the same terms and conditions as those in effect under the current licence. The licence will expire 31 August 2009, the current licence expiry date.
