Ownership applications granted approval

  In this notice, the Commission publishes a list of transfers of ownership and changes to the effective control of broadcasting undertakings that it has authorized during the period 1 May to 31 August 2003 pursuant to its streamlined procedure.

In recent years, the Commission has implemented a streamlined procedure for its consideration of applications involving transfers of ownership and changes in the effective control of broadcasting undertakings. Under this procedure, and on a case-by-case basis, the Commission may approve such an ownership application without first having issued a public notice provided that:
 

a) its examination of the application reveals the presence of no significant policy concern; and

 

b) the Commission is convinced that approval would be consistent with its approvals of previous applications.

Where these two conditions are met, the Commission is generally satisfied that a process initiated by a public notice is not required in the public interest, and would unnecessarily delay implementation of the transaction contemplated by the applicant.

The Commission intends to issue a public notice, every two months or as circumstances may otherwise warrant, listing all transfers of ownership and changes in effective control that it has authorized pursuant to its streamlined procedure. In the appendix to this, the first of such public notices, the Commission sets out details regarding the ownership transactions that it has authorized during the period 1 May to 31 August 2003.

Transfer of control of Touch Canada through the transfer of 10% of the voting shares to Mr. Charles R. Allard. Mr. Allard's holdings increase to 60% of the voting shares of the licensee company. Touch Canada is the licensee of CJSI-FM Calgary and CJRY-FM Edmonton. Touch Canada is also, as the general partner of CJCA Limited Partnership, licensee of CJCA-AM Edmonton.
Toronto Maple Leafs Network Ltd. (TMLN) and Toronto Raptors Network Ltd. (TRN)

Transfer of control of TMLN and TRN. TMLN is the licensee of the Category 2 digital specialty service known as LEAF-TV. TRN is the licensee of the Category 2 digital specialty service known as Raptors NBA-TV.

The reorganization results in Teachers' Pension Plan Board holding 58.35% of the voting shares of the licensee companies. Bell Globemedia Inc. (15.44%), TD Capital Group Limited (13.46%) and Kilmer Sports Inc. (12.75%) are the other shareholders. Effective control of the licensees is exercised by their respective Boards of Directors pursuant to Shareholders Agreements.
