Valleyfield Transvision Inc.
The Commission has received the following application:
WESTERN CANADA AND TERRITORIES REGION
1. DRAYTON VALLEY, Alberta
Application (950948000) by BIG WEST COMMUNICATIONS CORP. (formerly CIBC-FM Ltd.), licensee of the (radio) programming undertaking CIBW-FM Drayton Valley, for authority to effect changes in the ownership of the licensee.
The first proposed change is in the capitalization of the licensee where one class of shares (Class D non-voting) changed from a non-voting to a voting status. This resulted in the dilution of the controlling shareholder's interests (Mr. Melvin A. Stevenson) from 51% to 46.4% and consequently a change in the effective control of the licensee to a no clear cut control situation.
The second and sequential proposed change is the transfer of Mr. Stevenson's interest (46.4%) in the licensee to a holding company, 606924 Alberta Inc., 100% owned by Mr. Stevenson.
As a result of this application, the licensee will remain effectively Canadian controlled as all shareholders are Canadians or Canadian owned and controlled. The shareholders of Big West Communications Corp. will be as follows:
