Applications processed pursuant to streamlined procedures

  In this information bulletin, the Commission sets out lists of applications that did not require a public process and that it processed from 1 March to 30 April 2010 pursuant to its streamlined procedures. These applications involve transfers of ownership and changes in the effective control of broadcasting undertakings, as well as applications for amendments or extensions of deadlines.

The Commission has streamlined procedures for its consideration of applications that involve transfers of ownership and changes in the effective control of broadcasting undertakings, amendments or extensions of deadlines and that do not require a public process.1 Under these procedures, and on a case-by-case basis, the Commission may approve or deny such an application without first having issued a notice of consultation provided that:
 
  • its examination of the application reveals no significant policy concern; and
 
  • the Commission is convinced that approval or denial would be consistent with its approvals or denials of previous applications.

Where these two conditions are met, the Commission is generally satisfied that a process initiated by a notice of consultation is not required in the public interest and would unnecessarily delay implementation of the transaction contemplated or of other proposals by the applicant.

In the appendices to this information bulletin, the Commission sets out lists of applications that did not require a public process and that it processed from 1 March to 30 April 2010 pursuant to its streamlined procedures. The list of applications involving transfers of ownership and changes in the effective control of broadcasting undertakings is set out in Appendix 1. The list of applications involving amendments or extensions of deadlines is set out in Appendix 2.

APPROVED – Change to the ownership of Quebecor Media Inc. (QMI) through the transfer of the shares held by Capital d'Amérique CDPQ inc. (CDPQ) in QMI to CDP Capital d'Amérique Investissement inc., another CDPQ subsidiary.

This transaction does not affect the effective control of QMI and of its licensee subsidiaries.

QMI owns, through TVA Group Inc. and Videotron Ltd., broadcasting distribution undertakings, television programming undertakings, a pay-per-view undertaking, specialty services and a video-on-demand undertaking.

2. Peace River Broadcasting Corporation Ltd. 2010-0067-9
1 March 2010
APPROVED – Change to the ownership structure of Peace River Broadcasting Corporation Ltd. (Peace River) through the transfer of the shares of the parent corporation of Peace River to a new corporation owned by the initial shareholders of the parent corporation.

This transaction does not affect the effecitve control of Peace River, which is exercised by Terrence and Cynthia Babiy.

Peace River is the licensee of CKHL-FM High Level, CKKX-FM Peace River and its transmitters and CKYL Peace River and its transmitters, Alberta.

3. Eastlink Bluewater Communications Incorporated (Bluewater TV Cable Ltd.) 2010-0147-9

APPROVED – Transfer of the ownership and effective control of Bluewater TV Cable Ltd. (Bluewater) from the Stinson family to John L. Bragg.

At the time of the application, Bluewater was the licensee of a regional video-on-demand undertaking in Ontario. Bluewater also owns exempt cable systems serving localities in Ontario.

Since the above transaction, Bluewater has amalgamated with other Bragg subsidiaries to continue under the name of Eastlink Bluewater Communications Incorporated.

4. Tillsonburg Broadcasting Company Limited 2010-0425-9
1 April 2010
APPROVED – Change to the ownership of Tillsonburg Broadcasting Company Limited (Tillsonburg) through the transfer of the shares of Tilsonburg to a holding company owned by the initial shareholders of Tilsonburg.

Tillsonburg is the licensee of CJDL-FM and CKOT-FM Tillsonburg, Ontario.

5. Zeste Diffusion inc. 2010-0494-4
19 April 2010
APPROVED – Change to the ownership of Zeste Diffusion inc. through the transfer of all the shares from Serdy inc. to Serdy Média inc., a corporation wholly owned by Serdy inc.

This transaction does not affect the control of Zeste Diffusion inc., which is exercised by Serge Arsenault.

Zeste Diffusion inc. is the licensee of Zeste, a national French-language category 2 specialty service formerly known as Cuisine.
