CHNM-TV and CHNM-DT Vancouver and their transmitters in Victoria - Corporate reorganization (Assets)

1.

The Commission approves the application by Multivan Broadcast Corporation (the general partner) and 650504 B.C. Ltd., Douglas M. Holtby, Geoffrey Y.W. Lau, Robert H. Lee, Joseph Segal and RCG Forex Service Corp. (the limited partners), carrying on business as Multivan Broadcast Limited Partnership (Multivan LP), for authority to effect a corporate reorganization that affects the ownership of the ethnic television programming undertaking CHNM-TV Vancouver (also known as Channel M) and the digital television undertaking CHNM-DT Vancouver, as well as their related transmitters in Victoria. The applicant also requested new licences to be issued to the new partners under the same terms and conditions as those in effect under the current licences.

2.

As contemplated in the current Partnership Agreement of Multivan LP, this corporate reorganization will be effected through the transfer of the partnership interest currently owned by 650504 B.C. Ltd. (a corporation wholly owned and controlled by Art Reitmayer) to Art Reitmayer and through the transfer of the partnership interest currently owned by RCG Forex Service Corp. (a corporation wholly owned and controlled by James Ho) to Mainstream Broadcasting Corporation (another corporation controlled by James Ho).

3.

These transactions will not affect the effective control of the undertakings as effective control will continue to be exercised by the general partner of Multivan LP, Multivan Broadcast Corporation.

4.

The Commission did not receive any interventions in connection with this application.

5.

Upon surrender of the current licences, the Commission will issue new licences to Multivan Broadcast Corporation (the general partner) and Art Reitmayer, Douglas M. Holtby, Geoffrey Y.W. Lau, Robert H. Lee, Joseph Segal and Mainstream Broadcasting Corporation (the limited partners), carrying on business as Multivan Broadcast Limited Partnership, to continue the operation of the undertakings under the same terms and conditions as those in effect under the current licences.
