Transfer of assets - Corporate reorganization

The Commission approves the applications by Trinity Television, Inc. (Trinity), on behalf of two new corporations, NOWTV Manitoba Inc. and NOWTV British Columbia Inc., for the authority to acquire from Trinity, as part of a corporate reorganization, the assets of the conventional television programming undertakings CIIT-TV Winnipeg1 and CHNU-TV Fraser Valley, respectively. The applicant also requested broadcasting licences to operate these undertakings under the same terms and conditions as those specified in the original CIIT-TV licensing decision and in Deadline to commence operations, Broadcasting Decision CRTC 2004-279, 19 July 2004 (Decision 2004-279),2 and in the current CHNU-TV licence.

The Commission notes that further to the corporate reorganization, NOWTV Broadcasting Inc. will hold 100% of the voting rights of the new licences. In return, Trinity Television Holdings Inc. (Trinity Holdings) will hold 100% of the voting rights in NOWTV Broadcasting Inc. Trinity Holdings will act as trustee of Trinity Television Trust, in which Trinity will be the beneficiary.

The Commission did not receive any interventions in connection with these applications.

The new licences will expire 31 August 2006, the same expiry date as that set out in the original licensing decisions. The licence for CIIT-TV will be subject to the same terms and conditions as those specified in the original licensing decision and in Decision 2004-279, and the licence for CHNU-TV will be subject to the same terms and conditions as those in effect under the current licence.

The licence for CIIT-TV will be issued once NOWTV Manitoba Inc. has informed the Commission in writing that it is prepared to commence operations. The undertaking must be operational at the earliest possible date and in any event no later than 30 November 2005, unless a request for an extension of time is approved by the Commission before that date. In order to ensure that such a request is processed in a timely manner, it should be submitted at least 60 days before that date.

The Commission will issue the licence for CHNU-TV to NOWTV British Columbia Inc. once the vendor has surrendered the current licence to the Commission.

In accordance with Implementation of an employment equity policy, Public Notice CRTC 1992-59, 1 September 1992, the Commission encourages the licensee to consider employment equity issues in its hiring practices and in all other aspects of its management of human resources.
