CJEC-FM Québec - Acquisition of assets

  The Commission approves the application by Cogeco Diffusion Inc. for authority to acquire, as part of a corporate reorganization, the assets of the radio station CJEC-FM Québec.

The Commission received an application by Cogeco Diffusion Inc. (Cogeco) for authority to acquire, as part of a corporate reorganization, the assets of the radio station CJEC-FM Québec from Cogeco Radio-Télévision inc. (CRTI).

In New FM radio station in Québec, Broadcasting Decision CRTC 2002-191,
16 July 2002 (Decision 2002-191), the Commission approved the application by CRTI for a licence to operate a new FM radio station in Québec. CRTI wishes to transfer the assets of the above-mentioned station to its wholly owned subsidiary, Cogeco.

Cogeco is also the licensee of CJMF-FM Québec and CFGL-FM Laval, Quebec.

This transaction will not change the effective control of CJEC-FM, which will continue to be exercised by Cogeco Inc.

The Commission did not receive any interventions in connection with this application.

In accordance with the requirements relating to benefits tests as set out in Commercial Radio Policy 1998, Public Notice CRTC 1998-41, 30 April 1998, the Commission will forgo benefits requirements in this transaction given that control of the undertaking in question remains unchanged.

The Commission approves the application by Cogeco to acquire the assets of the radio station CJEC-FM Québec and for a broadcasting licence to continue the operation of the undertaking.

The licence will expire on 31 August 2008, the expiry date set out in
Decision 2002-191. The licence will be subject to the conditions set out in New licence form for commercial radio stations, Public Notice CRTC 1999-137, 24 August 1999, and to the conditions of licence relating to Canadian content and Canadian talent development set out in the appendix to this decision. The Commission reminds the licensee that it must also comply with the other terms set out in Decision 2002-191.

Appendix to Broadcasting Decision CRTC 2003-565

  Conditions of licence
 

1. The licensee shall, in each broadcast week, devote at least 45% of its popular musical selections (category 2) to Canadian selections.

 

2. The licensee shall fulfill the following commitments with respect to Canadian talent development (CTD):

 
  • participate in the Canadian Association of Broadcasters' CTD plan and expend $50,000 per year, for a total of $350,000 over seven years, on this initiative. All monies intended for this initiative must be remitted to MusicAction;
 
  • contribute $50,000 per year to Fonds RadioStar, for a total of $350,000 over seven years; and
 
  • contribute $45,000 per year, for a total of $315,000 over seven years, to the project La relève d'artistes en chanson, which is part of the Festival d'été de Québec.
