Corporate reorganization

1.

The Commission received an application by Multivan Broadcast Corporation (Multivan) for authority to implement a corporate reorganization that would modify the ownership structure of Multivan's new multilingual ethnic television programming undertaking, which was approved in New multilingual ethnic television station to serve Vancouver, Broadcasting Decision CRTC 2002-39, 14 February 2002.

The Commission did not receive any interventions in connection with this application.

Multivan proposed to transfer the assets of its undertaking to a limited partnership to be known as Multivan Broadcast Limited Partnership (Multivan LP). The proposed limited partners would consist of 650504 B.C. Ltd. (a company owned and controlled by Art Reitmayer), RCG Forex Service Corp. (a company owned and controlled by James Ho), Robert H. Lee, Geoffrey Y.W. Lau, Joseph Segal, and Douglas Holtby.

The general partner of Multivan LP would be Multivan. Therefore, the Commission is satisfied that the proposed transfer will not alter the ultimate control of the undertaking since control will continue to be exercised by Multivan.

The Commission therefore approves the application, and will issue a new licence to Multivan (the general partner) and the limited partners of Multivan LP, upon surrender of the current licence issued to Multivan. The new licence will expire 31 August 2008, the expiry date of the current licence, and will be subject to the terms and conditions in effect under the current licence.

The licensee is required to confirm to the Commission that the proposed transaction has taken place, and to confirm the number of voting units to be held by each limited partner.

Multivan must also submit to the Commission executed copies of:
  • The Amended and Restated Multivan Broadcast Limited Partnership Agreement; and
  • the Shareholders Agreement between 650504 B.C. Ltd., 651722 B.C. Ltd., KKBL No. 404 Ventures Ltd., Geoffrey Y.W. Lau, No. 244 Seabright Holdings Ltd., Douglas Holtby, Art Reitmayer and MVBC Holdings Ltd.

8.

The Commission will modify its ownership records to reflect this approval.
