Dear Ms. Strain:

Re: Application No. 200108292 - Approved - Transfer of control

3053781 Nova Scotia Company (formerly Craig Broadcast Systems Inc., on behalf of a corporation to be incorporated), licensee of a new category 2 specialty television service (TV Land Canada)

Requests authority to transfer its control to 3888495 Canada Ltd. (wholly-owned subsidiary of Craig)

The Commission approves the above-noted application for authority to transfer all the common voting shares originally proposed to be held by Craig Broadcast Systems Inc. OBCI (Craig) in "TV Land Canada" to 3888495 Canada Ltd. (80.1%) and TV Land Canada Holding Inc. (19.9%), a non-Canadian corporation.

TV Land Canada is a category 2 specialty television service formerly proposed to be called Retro Channel. Since 3888495 Canada Ltd. is a wholly-owned subsidiary of Craig Broadcast Systems Inc., effective control will remain in the hands of Craig.

The Commission will modify its ownership records to reflect the authorized ownership of TV Land Canada as shown in the attached appendix.

All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licence.
