Dear Ms. Elisabeth:

Re: Application No. 200108409 - Approved
Transfer of shares-
Change whereby Netstar Entreprises Inc. (Netstar), shareholder of 80% voting interests in the new category 2 digital specialty service "Discovery Civilization" will transfer its direct interest in the service to 3922120 Canada Inc., a wholly owned subsidiary.

The Commission approves the above-noted application for authority to effect a transaction whereby 3922120 Canada Inc. will become the principal shareholder of the new category 2 specialty television service to be known as "Discovery Civilization".

The Commission notes that in its Decision 2000-553 (dated November 24, 2000), it has awarded a category 2 digital specialty service to be known as "Discovery Civilization" to CTV Inc. on behalf of a corporation to be incorporated, whose share holders are Netstar Entreprises Inc. (Netstar) with 80% voting rights and Discovery Communications Inc. with 20% voting rights. The current transaction is to transfer the direct interest of Netstar to its wholly owned subsidiary 3922120 Canada Inc. Effective control will remain in the hands of Netstar.

The Commission will modify its ownership records to reflect the authorized ownership of "Discovery Civilization" as shown in the attached appendix.

The Commission also approves the licensee's confidentiality request for certain parts of the following documents:

1)  The Intellectual Property License Agreement between Discovery Communications, Inc. and 3922120 Canada Inc.; and

2)  The Program Supply Agreement between Discovery Communications Inc.; and Discovery Civilization Canada Company.

The Commission notes that abridged versions of the above documents have been filed and that it will be placed in the public file.

All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licence.
