Intracorporate reorganization

The Commission approves applications by Telemedia Radio Inc. (Telemedia) on behalf of Télémédia Radio (Québec) inc., formerly 3903010 Canada Limited, to undertake a corporate reorganization. Telemedia will transfer a number of its radio assets, essentially located in Quebec, to Télémédia Radio (Québec) inc.

Specifically, Télémédia Radio (Québec) inc. is acquiring the assets of nine radio stations and related transmitters. The stations involved are CFIX-FM Chicoutimi, CHLN and CHEY-FM Trois-Rivières, CHLT Sherbrooke, CIMF-FM Hull and its transmitter CIMF-FM-1 Hawkesbury, Ontario, CKTS Sherbrooke, CITF-FM Quebec City, CITE-FM Montréal and CITE-FM-1 and its transmitter CITE-FM-2 Sherbrooke. Télémédia Radio (Québec) inc. is also acquiring the assets of two radio networks: Radio Rock Détente, Montréal and the CHLN/CKSM Network, Trois-Rivières/Shawinigan, as well as the digital radio undertaking CITE-FM Montréal.

The Commission notes that the transactions herein approved represent an intracorporate reorganization that does not alter the effective control of the licensee.

Upon surrender of the current licences issued to Telemedia, the Commission will issue broadcasting licences to continue the operation of the affected undertakings, subject to the terms and conditions in effect under the current licences. The licences will also be subject to the conditions set out in Public Notice CRTC 1999-137.
