Acquisition of assets

1.

The Commission approves the application for authority to acquire the assets of the cable distribution undertaking serving the above-noted localities, from PricewaterhouseCoopers Inc., trustee of Télécâble Lyster inc., in bankruptcy, and for a broadcasting licence to continue the operation of this undertaking.

The Commission will issue a Class 3 licence to Câble-Axion Québec inc., expiring 31 August 2007, upon surrender of the current licence. The operation of this undertaking will be regulated pursuant to the Broadcasting distribution regulations (the regulations). The licence will be subject to the condition specified in this decision and to any other condition that may be specified in the licence to be issued.

Although it has approved this application, the Commission remains very much concerned that the transaction took place without its prior approval. This is contrary to the requirements of section 4 of the regulations. The Commission brings to the attention of the new licensee the fact that any prospective transaction involving a transfer of the assets or of effective control of a regulated undertaking requires prior CRTC approval. It expects all parties to a transaction to be aware of, and to comply with, these requirements.

The purchase price relating to this transaction is $85,000. Based on the evidence filed with the application, the Commission has no concerns with respect to the availability or the adequacy of the required financing.

The signals that the licensee is authorized to distribute may be received by direct reception, or from any Canadian broadcasting distribution undertaking (licensed or exempted) which is authorized to provide signals to other distributors.

6.

It is a condition of licence that, for community programming and any other programming of a service that it originates, the licensee adhere to the guidelines on the depiction of violence in television programming set out in the Canadian Association of Broadcasters' Voluntary code regarding violence in television programming, as amended from time to time and approved by the Commission.

 

Other matters

7.

The Commission encourages the licensee to consider employment equity issues in its hiring practices and in all other aspects of its management of human resources (PN 1992-59).
